General Terms of Use

Welcome to EVOQ. These Terms of Use, along with any agreements or order forms that reference these Terms (collectively, the "Agreement"), are a legal contract between you and EVOQ, or the EVOQ entity specified in any separate agreement. By accessing or using EVOQ’s services, you agree to comply with this Agreement.

Description of Services

We offer cloud software and applications for businesses, including offline and mobile apps ("Services"). You can use these Services for personal use, business use, or internal purposes within your organization. Access is available through any compatible web browser. You are responsible for your own internet connection and necessary devices. With your user account, you can create, edit, publish, and share content.

Acceptance of Terms

By using EVOQ’s platform, you accept this Agreement. If you are using the Service on behalf of a company or organization ("Corporate Entity"), you confirm that you can bind that entity to these Terms.

Changes to Terms

We may update this Agreement occasionally. Changes will be posted on this page, with the date of the last update indicated at the top. We will provide at least 30 days’ notice for significant changes. Continued use of the Service after changes take effect means you accept the new Terms. If you disagree with any updates, please discontinue using the Service.

Restrictions

Direct competitors of EVOQ, or their agents, are not permitted to access or use the Service.

Arbitration Agreement

This Agreement includes an arbitration clause. By agreeing, you waive your right to a jury trial or to participate in a class action. All disputes will be resolved through individual arbitration.

Additional Terms

Certain features or functionalities of the Service may be subject to additional terms. These terms will be provided within the Service and are incorporated into this Agreement by reference. Review these terms regularly to stay informed of any updates.

Account Registration

(a) Accounts and Authorized Users: To use the Service, you must register and maintain an account with accurate and up-to-date information. If any information you provide is inaccurate or incomplete, we may suspend or terminate your account. Only employees or contractors authorized by you (referred to as "Authorized Users") can access the Service through the account credentials provided. You are responsible for all activities under your account and must secure your and your Authorized Users' login details. Any unauthorized use must be reported to us immediately, and you must take steps to stop it. Some features of the Service may be limited to certain Authorized Users as defined in our agreement or related documents. We reserve the right to enforce usage limits.

(b) Eligibility: To use the Service, you must be at least the legal age of majority in your jurisdiction, typically 18 or 19 years old. By agreeing to these terms, you confirm that you meet the age requirement, have not been previously suspended from the Service, and comply with all relevant laws and regulations.

(c) Corporate Entities: If you are a corporate entity, your subscription may allow Authorized Users from your Affiliates to use the Service, provided the total number does not exceed your subscription limit and usage is within a single business operation. You are accountable for all actions taken by Authorized Users, including those of Affiliates, as if they were your own. Affiliates can access relevant data as permitted by their user type, and we are not responsible for enforcing data restrictions between you and your Affiliates. If you registered under a different name than your legal business name, we may require proof that all licenses are used appropriately. Each separate business must have its own agreement with us.

Free Trial

If you register for a free trial, EVOQ provides access to the applicable features of the Services at no cost until the earlier of: - At the end of the 14-day free trial period, - The start date of your paid subscription, or - Termination by EVOQ at its sole discretion.

Please note that any data entered during the free trial will be permanently lost unless you purchase a paid subscription. Services during the free trial are provided "as is" without any warranty, support, or liability, to the extent permitted by law.

User Sign-Up Requirements

To access our Services, you must create a user account by providing all required information. If you represent an organization and wish to use the Services for corporate purposes, we recommend contacting our team for a customized plan. You agree to: - Provide accurate, current, and complete information during sign-up. - Keep this information up to date.

If EVOQ finds your information to be inaccurate or incomplete, or if there are reasonable grounds to suspect such issues, we may terminate your account and restrict access to the Services.

Fees and Payments

Our Services are available through different subscription plans, each with its own billing period. Subscriptions automatically renew at the end of each billing cycle unless you cancel beforehand. When a subscription renews, the associated fee will be charged to the credit card on file. You can manage your payment details and opt out of auto-renewal in the Billing settings. We reserve the right to modify our pricing or introduce fees for features that were previously free. Any price changes will apply after the current billing cycle ends. You won’t be charged unless you have an active paid subscription. If required, we will add applicable taxes, such as VAT or sales tax, to your invoice, and you agree to pay these taxes in addition to the subscription fees. Invoices will be provided in accordance with local tax laws to support any tax credit claims.

Third-Party Applications

EVOQ Services may integrate with third-party applications ("Third-Party Applications"). Using these may require acceptance of their own terms and privacy policies ("Third-Party Terms"). You are responsible for understanding these terms. EVOQ is not liable for Third-Party Applications and may, at its discretion, suspend or remove access to them without notice or liability for any losses.

Restrictions of Use

You agree not to use the Services for any unlawful purposes or in a manner that could damage, disable, overburden, or impair the Services. Prohibited activities include, but are not limited to: - Unauthorized access or distribution of malicious software. - Any form of harassment or abusive behavior.

You must not attempt to gain unauthorized access to any systems or networks associated with the Services.

Spamming and Illegal Activities

The use of the Services to send unsolicited or unauthorized advertising, promotional materials, or spam is strictly prohibited. EVOQ has a strict Anti-Spam and Abuse Policy to ensure that all users adhere to best practices and comply with applicable laws and anti-spam regulations. You must not use the Services to engage in or promote illegal activities, including but not limited to fraud, theft, or any other unlawful conduct. Any violation of this policy will result in the immediate termination of your account and potential legal action.

Inactive User Accounts Policy

User accounts that have been inactive for one year will have their data retained during this time. If the account is not reactivated or renewed within this period, all associated data will be permanently deleted. We recommend keeping your account active to avoid any loss of data.

Data Ownership

You retain full ownership of your data and content. EVOQ does not claim ownership of any user-generated content or data provided through the use of our Services. We use your data solely to provide and improve our Services and to ensure the functionality of the platform.

User-Generated Content

You are responsible for all content you create or upload to our Services. By using our Services, you grant EVOQ a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display your content as necessary for the operation, promotion, and improvement of our Services. You retain ownership of your content, and this license is not a transfer of ownership.

Suspension and Termination

EVOQ reserves the right to suspend or terminate your account if you breach these Terms or if your use of the Services is deemed harmful, unauthorized, or violates our policies. In the event of suspension or termination, we will provide notice if possible, and you may be entitled to a refund of unused subscription fees, if applicable.

Intellectual Property

Ownership: All content, trademarks, and other intellectual property rights related to our Services, including but not limited to text, graphics, logos, and software, are the property of EVOQ or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for their intended purposes.

Usage Restrictions: You may not copy, modify, distribute, or create derivative works based on any intellectual property provided by EVOQ without prior written consent. This restriction applies to all content, software, and materials accessed through the Services.

User Content: You retain ownership of any content you create or upload while using our Services. By submitting content, you grant EVOQ a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display your content in connection with operating, promoting, and improving our Services.

Infringement Claims: If you believe that any content on our platform infringes upon your intellectual property rights, please contact us with details of the alleged infringement. We will review and handle such claims by applicable laws.
